Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the Crescera platform, including any associated software, dashboards, data feeds, and support services (collectively, the "Service"). This is a general draft provided for editorial purposes and should be reviewed by qualified legal counsel before publication.

Last updated: [date to be inserted]. By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

1. Acceptance of Terms

Access to the Service constitutes acceptance of these Terms in full. These Terms apply to all users, including visitors, registered account holders, and any organisation on whose behalf an individual accesses the Service. Crescera reserves the right to amend these Terms at any time, with updated versions published on this page. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

Crescera provides AI-driven data analysis, market monitoring, and decision-support tooling intended to assist trading desks and institutional investors in reviewing information and forming independent judgements. The Service presents aggregated data, computed indicators, and generated outputs for informational purposes. It does not place, execute, or manage trades on behalf of any user, and does not constitute discretionary portfolio management.

3. No Financial Advice

Nothing provided through the Service constitutes investment, legal, tax, or financial advice, nor a recommendation or solicitation to buy, sell, or hold any financial instrument. All outputs, signals, scores, and analyses are generated using automated models and may be incomplete, delayed, or inaccurate. Users are solely responsible for their own investment decisions and should seek independent professional advice before acting on any information obtained through the Service.

4. Eligibility and Account Registration

Use of certain features requires registration of an account. You agree to provide accurate, current, and complete information during registration and to maintain the security of your login credentials. You are responsible for all activity that occurs under your account and must notify Crescera promptly of any unauthorised use or suspected breach of security.

5. Acceptable Use

You agree not to: (a) reverse engineer, decompile, or attempt to extract the source code or underlying models of the Service; (b) use the Service to develop a competing product; (c) resell, sublicense, or redistribute access to the Service without prior written consent; (d) interfere with or disrupt the integrity or performance of the Service, including through automated scraping or excessive API requests outside agreed limits; or (e) use the Service for any unlawful purpose, including market manipulation or activity prohibited under applicable financial conduct regulations.

6. Subscription, Fees, and Payment

Access to paid tiers of the Service is subject to the fees described at the point of purchase or in a separate commercial agreement. Fees are generally non-refundable except where required by law or expressly stated otherwise. Crescera reserves the right to modify pricing with reasonable advance notice. Failure to make timely payment may result in suspension or termination of access.

7. Intellectual Property

All rights, title, and interest in and to the Service, including software, design, text, graphics, data models, and underlying technology, remain the exclusive property of Crescera or its licensors. These Terms grant a limited, non-exclusive, non-transferable licence to access and use the Service for its intended purpose. No other rights are granted by implication, estoppel, or otherwise.

8. Data and Third-Party Information

The Service may incorporate data from third-party sources. Crescera does not guarantee the accuracy, completeness, or timeliness of such data and is not responsible for errors or omissions originating from third-party providers. Users should independently verify any information material to a decision before relying on it.

9. Service Availability

Crescera will use reasonable efforts to maintain availability of the Service but does not guarantee uninterrupted or error-free operation. The Service may be suspended for maintenance, upgrades, or circumstances beyond Crescera's reasonable control. Crescera is not liable for any loss arising from downtime, delays, or interruptions.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Crescera and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, trading losses, loss of data, or business interruption, arising out of or related to use of, or inability to use, the Service, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Crescera from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Crescera may suspend or terminate access to the Service at its discretion, with or without notice, including in cases of suspected violation of these Terms, non-payment, or risk to the integrity or security of the Service. Upon termination, your right to use the Service ceases immediately, though provisions of these Terms which by their nature should survive termination will remain in effect.

13. Changes to the Service

Crescera reserves the right to modify, suspend, or discontinue any part of the Service, temporarily or permanently, at any time, with or without notice. Crescera shall not be liable for any such modification, suspension, or discontinuation.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by mandatory applicable law.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.

16. Contact

Questions regarding these Terms should be directed through the contact details provided on the Contact page.
